1. Services Description
Livalu Media LLC provides digital marketing, content creation, audiovisual production, brand strategy, social media support, advertising creative, and digital media services. All services are subject to a separate agreement or statement of work executed between the client and Livalu Media LLC.
2. Acceptance of Terms
By using our website or engaging our services, you represent that you are at least 18 years old and have the legal capacity to enter into binding agreements. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Intellectual Property
All content on this website, including but not limited to text, graphics, logos, images, and software, is the property of Livalu Media LLC or its content suppliers and is protected by United States and international copyright laws. You may not reproduce, distribute, modify, or create derivative works from any content without our express written permission.
Upon full payment and project completion, clients receive usage rights to deliverables as specified in their individual service agreement. Unless otherwise agreed in writing, Livalu Media LLC retains the right to use non-confidential portions of work for portfolio and promotional purposes.
4. Client Obligations
Clients agree to:
- Provide accurate and complete information about their business and project needs
- Respond to requests for feedback, approvals, and materials in a timely manner
- Provide necessary assets, brand guidelines, and access required for service delivery
- Make payments according to the agreed schedule
5. Payment Terms
Payment terms are specified in individual service agreements. Generally, projects require a deposit before work begins, with remaining payments due according to the agreed milestone schedule. Late payments may result in project delays or suspension of services. All fees are quoted in U.S. dollars unless otherwise specified.
6. Limitation of Liability
Livalu Media LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services. Our total liability for any claims arising under these Terms shall not exceed the amount paid by you for the specific service giving rise to the claim.
We do not guarantee specific business outcomes, sales results, or return on investment from our marketing and creative services. Results depend on numerous factors outside our control, including market conditions, client implementation, and audience behavior.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of service delivery. This obligation survives termination of the working relationship.
8. Termination
Either party may terminate a service agreement with written notice, subject to the cancellation and refund terms specified in the applicable agreement and our Refund Policy. Upon termination, the client remains responsible for payment for all work completed up to the termination date.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the State where Livalu Media LLC is registered, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction in that State.
10. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of our website or services following any changes constitutes acceptance of the revised Terms.
